This website and the Prospera Home Costco Next experience (together, the “Site”) are operated by Prospera Home (“Prospera Home,” “we,” “us,” or “our”). By visiting the Site and/or purchasing from us, you agree to be bound by these Terms of Use (the “Terms”), including any additional terms and policies posted on the Site. If you do not agree, do not use the Site.

We may update these Terms from time to time. The “Last Updated” date above reflects the most recent update within the current calendar year. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

1. Costco Next Program Terms

1.1 Seller of Record. For purchases you make after visiting our Prospera Home page from Costco Next, Prospera Home is the seller of record. Costco is not a party to your transaction and does not provide warranties or customer service for Prospera Home products.
1.2 Account and Checkout. Checkout, order processing, shipping, returns, and customer support are provided by Prospera Home under these Terms and our policies posted on the Site.
1.3 Pricing and Availability. Prices, promotions, and availability displayed on the Site are subject to change without notice and may differ from other channels.
1.4 Customer Service. Direct all order and product inquiries to Prospera Home using the contact information in Section 20.

2. Online Store Terms

2.1 You represent that you are of the age of majority in your state of residence, or you are the age of majority and have given consent for any minor dependents to use the Site.
2.2 You may not use the Site or products for any illegal or unauthorized purpose.
2.3 You must not transmit viruses, malware, or destructive code. A breach of these Terms may result in immediate termination of your access.

3.2 Except for payment information, content you transmit may be transferred unencrypted across networks and adapted to technical requirements. Payment information is encrypted during transfer.

6.3 We may limit sales to any person, household, region, or jurisdiction and limit quantities. All product descriptions and pricing are subject to change without notice.

7. Accuracy of Billing and Account Information

7.1 We reserve the right to refuse or cancel any order, including those placed under the same account, credit card, or billing/shipping address. We may contact you using the contact details provided with your order.
7.2 You agree to provide current, complete, and accurate purchase and account information and to promptly update it as needed so we can complete your transactions and contact you.

8. Optional Tools and Platform

8.1 We may provide access to optional tools or platform features we do not control. You acknowledge such tools are provided “as is” and “as available” without warranties or endorsements.
8.2 Our store is hosted on an e-commerce platform provider. The platform enables us to sell products and services to you.

9. Intellectual Property

9.1 The Site, including text, graphics, logos, images, product names, and software, is owned by or licensed to Prospera Home and is protected by applicable intellectual property laws.
9.2 You may not use our trademarks, trade dress, or content without our prior written permission.

10.3 You represent that your Comments do not violate any third-party rights and do not contain unlawful, abusive, or obscene material or malware. You are solely responsible for your Comments.

11.1 Your submission of personal information through the Site is governed by our Privacy Policy available on the Site.

12. Errors, Inaccuracies, and Omissions

12.1 The Site may contain typographical errors or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability.
12.2 We reserve the right to correct errors, change or update information, or cancel orders if any information is inaccurate, at any time and without notice (including after you submit an order).

14.1 We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that results will be accurate or reliable.
14.2 You agree that the Service and all products/services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, durability, title, and non-infringement, except to the extent such disclaimers are prohibited by law.
14.3 To the maximum extent permitted by law, in no event will Prospera Home or its directors, officers, employees, affiliates, agents, contractors, suppliers, or licensors be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, revenue, savings, data, or replacement costs, arising from your use of the Service or any products, even if advised of the possibility. Some jurisdictions do not allow certain limitations; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Prospera Home and its affiliates, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand (including reasonable attorneys’ fees) made by any third party due to or arising out of your breach of these Terms or your violation of any law or third-party right.

16. Severability

If any provision of these Terms is unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the unenforceable portion will be deemed severed, without affecting the validity of remaining provisions.

17. Termination

These Terms are effective unless and until terminated by either party. You may terminate at any time by ceasing use of the Site and notifying us. If we believe you have breached these Terms, we may terminate without notice and you will remain liable for amounts due up to the termination date.

18. Entire Agreement

These Terms and any policies or rules posted on the Site constitute the entire agreement between you and Prospera Home and supersede any prior or contemporaneous communications or proposals, whether oral or written. Any ambiguities will not be construed against the drafting party.

19. Governing Law; Dispute Resolution

These Terms and any separate agreements under which we provide you products or services are governed by the laws of the State of North Carolina, without regard to conflict-of-laws rules, and the laws of the United States of America. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Guilford County, North Carolina, for any disputes that are not subject to arbitration where applicable.
